INDEMNIFICATION

5.2 Sponsored Party agrees to indemnify, defend, and hold harmless Sponsor from any and all claims, damages, or expenses arising out of Sponsored Party's use of Sponsor's sponsorship funds.

MISCELLANEOUS

6.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, relating to the subject matter of this Agreement.

6.2 This Agreement may not be amended or modified except in writing signed by both parties.

6.3 This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns.

6.4 This Agreement shall be governed by and construed in accordance with the laws of the State of [State], without giving effect to any choice or conflict of law provision or rule.
